Building Operating Cost Addendum (BOCA)

Our Building Operating Cost Addendum ("BOCA") is designed to provide tenants, brokers and attorneys with language which will help protect tenants from the rising costs of building operating expenses. While there are many "exclusion lists" in circulation, many are excessively cumbersome and repetitive, making it difficult to negotiate the provisions into lease documents. Therefore, we have narrowed this list to approximately the top twenty-five issues which, when implemented properly, will give a tenant the protection it needs while also being reasonably acceptable to sophisticated landlords.

We have continually revised them over the years to reflect new issues uncovered in CyberLease's experience across the country. BOCA – Base Year: For use with leases utilizing a Base Year structured leases on deals that tenant can
negotiate (usually 10,000 rsf and above).

BOCA – Expense Stop, ONNN: For use with leases utilizing an Expense Stop or ONNN structured leases
on deals that tenant can negotiate (usually 10,000 rsf and above).

Downsized BOCA – Base Year: For use with base Year structured leases and only those exclusions that
Landlords would give smaller tenants (10,000 rsf and below)

Downsized BOCA – Expense Stop, ONNN: For use with leases utilizing an Expense Stop or ONNN
structured leases and only those exclusions that Landlords would give smaller tenants (10,000 rsf and
